Terms of Service

1. Acceptance of Terms

By accessing or using ShopBay.Studio (“the Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree, do not use the Service.

2. Description of Service

ShopBay.Studio is a cloud-based shop management platform for independent auto repair businesses. The Service includes tools for estimates, work orders, invoicing, digital vehicle inspections, scheduling, customer communication, and reporting.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must provide accurate information and promptly update it if it changes. You must be at least 18 years old to use the Service.

4. Subscription and Billing

Access to the Service may require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to change our pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service without permission
  • Resell or redistribute the Service without written authorization

6. Your Data

You retain ownership of all data you input into the Service (“Customer Data”). By using the Service, you grant us a limited license to store, process, and display your Customer Data solely to provide the Service. We do not sell your Customer Data to third parties. Upon account termination, you may request an export of your data within 30 days.

7. Third-Party Integrations

The Service integrates with third-party platforms including Stripe, Twilio, QuickBooks, and others. Your use of these integrations is subject to those third parties' terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of ShopBay.Studio and its licensors. You may not copy, modify, distribute, or create derivative works of the Service without express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RPM MANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

Either party may terminate your account at any time. We may suspend or terminate your account immediately for material breach of these terms, non-payment, or if required by law. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by displaying a prominent notice in the Service at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the new terms.

13. Governing Law

These Terms are governed by the laws of the United States and the State of Ohio, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration or in courts located in Ohio.
